These Terms of Service govern access to kinergiatec.com and use of products and services offered by Kinergia Tech related to consumer service operations, training toolkits, managed care desks, analytics programmes, and associated digital resources. Termination procedures for paid programmes follow contractual notice periods where applicable. 3. Website content and permitted use

Site content—including text, graphics, layout, and downloadable samples—is owned by Kinergia Tech or licensed to us. You may view pages, share links to public URLs, and print reasonable excerpts for internal evaluation. You may not scrape bulk content, mirror the site, remove proprietary notices, or imply endorsement without written permission. 4. Managed consumer service programmes

Delays in client inputs may shift launch dates without penalty to Kinergia Tech.

Clients are responsible for ensuring policies comply with applicable consumer protection and sector regulations in markets they serve.

Service level targets, when contracted, are measured against defined reporting periods excluding force majeure events, client system outages, or campaigns launched without agreed staffing plans. Chronic underperformance relative to contracted targets should be raised through account review channels so corrective plans can be documented.

5. Toolkit licences and intellectual property

Toolkit purchases grant a non-exclusive, non-transferable licence to use materials within a single client organisation for internal consumer service operations. Licence holders may adapt templates for internal workflows but may not resell, publicly distribute, or sublicense materials without enterprise written approval. Analytical frameworks and scorecard structures remain Kinergia Tech intellectual property even after customisation.

Updates included within the licence period are delivered electronically. Major version releases may require separate purchase. Upon licence expiry or termination for breach, internal use should cease except for records retained for compliance purposes. Kinergia Tech may embed discreet identifiers in digital files to trace unauthorised redistribution.

6. Orders, fees, and payment

Clients warrant they have lawful grounds to share customer information with Kinergia Tech for service delivery. We implement administrative, technical, and organisational measures appropriate to consumer contact environments including access controls, training, and incident response.

8. Acceptable use and client conduct

Clients may not request agents to misrepresent policies, bypass regulatory disclosures, harass consumers, or engage in deceptive retention practices. Kinergia Tech may refuse instructions that violate law or these terms. Site users may not upload malicious code, attempt unauthorised access, or use automated means to overwhelm forms. Marketing list signups must use valid addresses under your control.

Feedback and suggestions submitted through contact forms may be used to improve services without obligation to compensate submitters unless a separate innovation agreement exists. Public testimonials require explicit approval before publication.

9. Warranties and disclaimers

Kinergia Tech performs services with professional care consistent with consumer service industry standards. Except as expressly stated in a signed agreement, services and site content are provided "as is" without implied warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. Toolkit materials are educational and operational aids; outcomes depend on how teams implement them.

We do not guarantee specific reductions in contact volume, satisfaction scores, or revenue metrics. Projections discussed during sales are illustrative planning tools unless converted into binding service level commitments in writing.

10. Limitation of liability

To the fullest extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, or punitive damages including lost profits, lost goodwill, or business interruption arising from site use or services, even if advised of the possibility. Direct liability caps for paid managed programmes follow master agreement limits, typically tied to fees paid in the preceding twelve months unless mandatory law requires otherwise.

For toolkit purchases, aggregate liability is limited to amounts paid for the specific toolkit giving rise to the claim. These limitations do not apply to liability that cannot be excluded by law, including certain personal injury caused by negligence where jurisdiction prohibits exclusion.

11. Indemnification

Clients indemnify Kinergia Tech against third-party claims arising from client-provided materials, unlawful consumer policies, intellectual property infringement attributable to client content, or misuse of toolkits beyond licence scope. Kinergia Tech indemnifies clients against claims that toolkit materials or our proprietary methodologies infringe third-party intellectual property, subject to prompt notice and cooperation in defence.

12. Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control including natural disasters, widespread telecommunications failures, labour disputes not specific to the non-performing party's workforce, government actions, or pandemic-related restrictions. Affected parties will notify counterparts and use reasonable efforts to resume performance. Extended force majeure may trigger renegotiation or termination rights defined in master agreements.

13. Term and termination

Website terms remain effective while the site operates. Managed programmes terminate per contract notice provisions; transition assistance may be available for an additional fee. Toolkit licences end upon breach, non-payment where applicable, or expiry of included update periods if renewal is not purchased. Sections intended to survive—confidentiality, intellectual property, limitation of liability, indemnity, and governing law—remain in force after termination.

14. Changes to these terms

We may update these terms to reflect legal, operational, or product changes. Revised versions post on this page with an updated effective date. Material changes affecting active managed clients will be communicated through account channels when feasible. Continued site use after changes constitutes acceptance for general browsing; ongoing commercial relationships may require explicit acknowledgement where contracts mandate.

15. Governing law and disputes

These terms are governed by the laws specified in your master services agreement or, absent such agreement, by the laws applicable at Kinergia Tech's principal place of business without regard to conflict-of-law rules. Parties attempt good-faith resolution through executive discussion before formal proceedings. Where arbitration or specific courts are designated in signed contracts, those provisions control.
